Post-Breach Contract Hardening Lab

Pick the kind of incident that just happened and see exactly which contract clauses to add or strengthen so it hurts less next time. Tick the terms as you “adopt” them and watch the residual-risk read move. The score is an illustrative model to show direction of travel, not a measurement.

Educational only — not legal advice. Pairs with the breach index and the clause library.

Residual risk with terms adopted: 0/678 / 100 · High residual risk

TL;DR

What this lab does

  • Pick the kind of incident that just happened — vendor ransomware, a subprocessor leak, a false control attestation, late notification, a vulnerable component — and get the exact contract clauses to add or strengthen.
  • Tick the terms as you adopt them and a residual-risk read moves from "un-hardened" toward "hardened" to show direction of travel (an illustrative model, not a measurement).
  • Every recommendation links to the full language in the Cyber Contract Clause Library and pairs with the breach index for the cost side.
  • Educational only, not legal advice. Everything runs in your browser; nothing is uploaded.

Why this matters

A breach is the moment you have the most leverage to fix a contract — and the moment you can least afford to guess which terms matter. Teams tend to bolt on whatever the last incident exposed, one clause at a time, and still miss the related gaps. This lab turns the incident you just lived through into a focused shopping list: the specific clauses to add or strengthen, and how much of the gap each one closes.

It is educational and the score is illustrative — not legal advice. Take the list to your counsel and your vendor; the leverage fades fast once the incident is behind you.

Frequently asked questions

How do I harden a contract after a vendor breach?

Work backwards from what the incident exposed. If notification came late, cut the window to 24 hours from "aware" and add mandatory updates. If the breach exploited a control the vendor claimed to have, turn that control into an express warranty. If the cost blew past the liability cap, add a data-breach super-cap and carve breach-response costs out of the consequential-damages exclusion. If it happened at an unknown fourth party, add subprocessor approval and full vendor liability for subprocessors. This lab maps each common scenario to that specific set of clauses.

What is a data-breach "super-cap"?

A separate, higher liability cap that applies only to security, confidentiality and data-protection losses, sitting above the ordinary liability cap (often 12 months’ fees). Breach response routinely costs several times annual fees, so a single low cap means you absorb most of a breach. A super-cap — say 3-5x fees, or uncapped for the most sensitive data — plus carving breach-notification, forensic and credit-monitoring costs out of the "no consequential damages" exclusion is what actually changes the economics after an incident.

Is the risk score real?

No — it is an illustrative model to show the direction of travel as you adopt clauses, not a measurement of your actual risk. The value is in the mapping from incident type to the specific clauses worth adding, and in seeing how much of the gap each term closes. Use it to build a prioritised list to take to counsel and the vendor, not as a metric.

Can I add these clauses to an existing contract?

Often yes, at renewal or via an amendment or a security addendum/DPA, and a breach is the moment with the most leverage to do it. This lab helps you decide which terms to prioritise; a qualified lawyer should draft the actual amendment for your deal and jurisdiction. Nothing here is legal advice.
